1. Acceptance of Terms

Welcome to TesLyr. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Byteloop ("TesLyr," "we," "us," or "our") regarding your access to and use of the TesLyr web application and related services (collectively, the "Service").

By accessing or using TesLyr, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

TesLyr is a web-based application designed to display real-time, synchronized lyrics on Tesla vehicle touchscreens for music currently being played from various audio sources (including but not limited to Spotify, Apple Music, Bluetooth audio, and USB audio).

The Service requires authentication with your Tesla account through Tesla's official OAuth system and access to limited vehicle information to function properly.

3. Eligibility

To use TesLyr, you must:

• Be at least 18 years of age
• Own or have authorized access to a compatible Tesla vehicle
• Have a valid Tesla account
• Have the legal capacity to enter into binding contracts
• Comply with all applicable local, state, national, and international laws and regulations

By using the Service, you represent and warrant that you meet all of these eligibility requirements.

4. User Account and Authentication

4.1 Tesla Account Integration

TesLyr requires authentication through Tesla's official OAuth system. You are responsible for:

• Maintaining the security and confidentiality of your Tesla account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

4.2 Account Permissions

By granting TesLyr access to your Tesla account, you authorize us to access only the specific information necessary for the Service to function, as described in our Privacy Policy. You may revoke this access at any time through your Tesla account settings.

5. User Responsibilities and Conduct

5.1 Acceptable Use

You agree to use TesLyr only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service in any way that violates applicable laws or regulations
• Use the Service while driving in a manner that compromises safety or violates traffic laws
• Attempt to gain unauthorized access to the Service, other users' accounts, or Tesla's systems
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
• Use automated systems (bots, scrapers, etc.) to access the Service without our written permission
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Transmit any viruses, malware, or other malicious code
• Collect or harvest personal information about other users
• Use the Service for any commercial purpose without our express written consent
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity

5.2 Driving Safety

You acknowledge that you are the driver (or authorized operator) of the vehicle and are responsible for operating it safely at all times. TesLyr is intended to enhance your driving experience, but you must not allow it to distract you from safe vehicle operation.

6. Subscription and Payment Terms

6.1 Service Plans

TesLyr may be offered as a free service with limitations or as a paid subscription service with additional features. Specific pricing, features, and limitations of each plan will be clearly displayed within the Service.

6.2 Payment

If you subscribe to a paid plan:

• You agree to pay all applicable fees as described at the time of purchase
• Fees are non-refundable except as required by law or as expressly stated in these Terms
• You authorize us to charge your payment method on a recurring basis for subscription fees
• You are responsible for providing accurate and current payment information
• We reserve the right to change our pricing with 30 days' notice to active subscribers

6.3 Cancellation

You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period, and you will retain access to paid features until that time.

7. Intellectual Property Rights

7.1 TesLyr's Property

The Service, including all content, features, functionality, software, code, design, graphics, logos, and trademarks, is owned by Byteloop and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

7.2 Third-Party Content

Lyrics and music information displayed through TesLyr are sourced from third-party databases and services. We do not claim ownership of this content. All lyrics remain the property of their respective copyright holders.

7.3 User Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our Service without any obligation to you.

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, TESLYR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR TIMELINESS OF LYRICS OR OTHER CONTENT
• WARRANTIES THAT DEFECTS WILL BE CORRECTED

We do not warrant that the Service will meet your requirements or that it will be compatible with all devices or platforms. You acknowledge that your use of the Service is at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TESLYR, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, OR USE
• ANY PERSONAL INJURY, PROPERTY DAMAGE, OR ACCIDENTS resulting from your use of the Service, including but not limited to accidents, collisions, or traffic violations that occur while using TesLyr
• ANY SECURITY BREACHES, UNAUTHORIZED ACCESS, OR DATA LOSS related to your Tesla account or vehicle
• ANY ERRORS, OMISSIONS, OR INACCURACIES in lyrics or other content displayed
• ANY INTERRUPTION OR UNAVAILABILITY of the Service
• ANY THIRD-PARTY CONDUCT OR CONTENT accessed through the Service
• ANY LEGAL CLAIMS, FINES, OR PENALTIES arising from your use of the Service

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT TESLYR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN NO EVENT SHALL TESLYR'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO TESLYR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless TesLyr, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights, including intellectual property rights
• Any accidents, injuries, or damages resulting from your use of TesLyr while operating a vehicle
• Any unauthorized access to your Tesla account or vehicle resulting from your negligence

This indemnification obligation will survive the termination of these Terms and your use of the Service.

11. Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources (including Tesla's services and lyrics databases) that are not owned or controlled by TesLyr.

We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services. You acknowledge and agree that TesLyr shall not be responsible or liable for any damage or loss caused by your use of any third-party services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party services you access.

12. Service Modifications and Termination

12.1 Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, for any reason. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

12.2 Termination by TesLyr

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Requests by law enforcement or government agencies
• Unexpected technical or security issues

12.3 Termination by You

You may stop using the Service at any time by revoking TesLyr's access to your Tesla account and ceasing to use the Service.

12.4 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Dispute Resolution

13.1 Informal Resolution

If you have any dispute with TesLyr, you agree to first contact us at support@teslyr.com and attempt to resolve the dispute informally.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Byteloop is established, without regard to its conflict of law provisions.

13.3 Arbitration

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except as otherwise provided herein. The arbitration shall be conducted in English.

13.4 Class Action Waiver

YOU AND TESLYR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TesLyr regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the other provisions shall remain in full force and effect.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and TesLyr's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

14.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

14.6 Force Majeure

TesLyr shall not be liable for any failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending you an email notification (if you've provided an email address)
• Displaying a prominent notice within the Service

Your continued use of the Service after such changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.
